These Terms of Use (“Terms”) govern your access to and use of www.expanviausa.com (the “Site”), operated by Expanvia, a registered assumed name (DBA) of Proxima Invest LLC (“Expanvia,” “we,” “us,” or “our”), located at 3100 S Gessner Rd, Suite 15, Houston, Texas 77063, USA.
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. About Expanvia
Expanvia provides U.S. market expansion and operating-platform services for international manufacturers, including market-entry strategy, sales and business development, sourcing, 4PL and warehousing coordination, customer relationship support, and related operational assistance. Engagement for paid services is governed by a separate written agreement between you and Proxima Invest LLC (doing business as Expanvia).
2. Informational Purpose Only
Content on the Site—including descriptions of services, processes, timelines, cost ranges, calculators, comparisons, and insights—is provided for general business information and educational purposes. It does not constitute legal, tax, accounting, immigration, investment, or other professional advice.
Pricing, timelines, and operating-cost figures shown on the Site are planning assumptions unless expressly confirmed in a signed agreement. Actual costs and schedules depend on your facts, location, industry, and third-party provider fees.
3. No Guarantee of Results
Market development outcomes vary. Expanvia does not guarantee sales, customer acquisition, financing, regulatory approvals, timelines, or any specific commercial result. Past examples or illustrative scenarios are not promises of future performance.
4. Permitted Use
You may use the Site for lawful business purposes related to evaluating or communicating with Expanvia. You agree not to:
- use the Site in any way that violates applicable law or regulation;
- attempt to gain unauthorized access to the Site, related systems, or data;
- interfere with or disrupt the Site’s operation, security, or integrity;
- scrape, harvest, or systematically extract content except as permitted by robots rules or with our prior written consent;
- submit false, misleading, or unlawful information; or
- use the Site to transmit malware, spam, or harmful code.
5. Intellectual Property
The Site and its contents—including text, graphics, logos, icons, images, layout, and software—are owned by Expanvia / Proxima Invest LLC or its licensors and are protected by intellectual-property laws. You may view and print pages for personal or internal business evaluation. You may not copy, modify, distribute, publicly display, or create derivative works from Site content without our prior written permission, except for brief quotations with attribution for non-commercial editorial use.
6. User Submissions
If you submit information through forms or email, you represent that you have the right to provide it and that it is accurate to the best of your knowledge. You grant us a non-exclusive license to use that information to respond to you and to operate our business as described in our Privacy Policy.
7. Third-Party Links and Partners
The Site may reference or link to third-party websites, tools, or service providers. We do not control and are not responsible for third-party content, policies, or practices. Mentions of third parties do not imply endorsement unless expressly stated.
Where we introduce you to independent professionals (legal, tax, banking, insurance, logistics, and similar), those professionals act under their own engagements and licenses. Expanvia is not responsible for their advice or performance unless a signed agreement expressly provides otherwise.
8. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPANVIA, PROXIMA INVEST LLC, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR RELIANCE ON ITS CONTENT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
10. Indemnification
You agree to defend, indemnify, and hold harmless Expanvia, Proxima Invest LLC, and their personnel from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, your violation of these Terms, or your infringement of any third-party right.
11. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. Exclusive venue for disputes arising out of or relating to the Site or these Terms shall lie in the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction there.
13. Changes
We may revise these Terms at any time by posting an updated version on the Site with a revised effective date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.
14. Severability and Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Site and supersede prior understandings on that subject. Separate service agreements control paid engagements.
